Four buyer types, one standard

Who we work with, and who we turn away.

Four kinds of buyer make up almost all serious demand for UAE businesses in the AED 2 to 10 million range. Each one wants something different from a deal, and each one is asked for something different at the gate.

The gate itself does not move. What changes is the order in which information is released, and how carefully.

The four buyer types

Same gate, different questions.

Read the one that describes you. If two of them do, say so in the first message, because it changes which mandates fit.

Buyer type 01

Residency-driven buyers

You have sold or cashed out elsewhere, you are moving to the UAE or already here, and you want a real operating business as the anchor rather than a shell. A solid cash yield matters, and so does a seat you can hold with dignity in front of your family.

You are buying something you can supervise rather than run seven days a week, which makes owner hours the number that decides the deal. Expect that number to be given to you honestly, including the parts that are inconvenient.

Visa eligibility depends on the licence, the activity and the authority involved, so it is confirmed with the relevant authority and your own adviser rather than assumed. Nobody here will tell you a business guarantees a visa.

What you bring to the gate

  • A specific sector, or two, that you can explain in a sentence
  • A size range in AED you can fund without a raise
  • Bank evidence of liquid funds at half the target price or more
  • An honest answer on how many hours a week you intend to give it
  • Whoever else in the family is part of the decision

Buyer type 02

Owner-operators

You are buying a job you actually want, with a team already in place and a phone that already rings. You will be in the business daily, at least for the first year, and you want to know exactly what that looks like before you sign anything.

This is the buyer type that benefits most from reconciled figures. A business that pays the owner well because he never takes a holiday is a different asset from one that runs on a supervisor layer, and the information memorandum says which one you are looking at.

You will be asked how you intend to hold the key staff, because in a UAE SME the visas, the gratuity accrual and the relationships usually sit with three or four people.

What you bring to the gate

  • Operating experience, in this sector or one close enough to argue for
  • Liquid funds at half the target price or more, evidenced
  • A view on which parts of the business you will run and which you will hire for
  • A realistic start date, not a hypothetical one
  • A crisp answer on anything you have looked at and walked away from

Buyer type 03

Strategic consolidators

You already run something in the sector or next to it, and you want the contracts, the capacity, the licensed staff, or simply a competitor gone. You know the numbers cold and you will price the synergy better than any financial buyer.

You are welcome, and you are also the buyer type that gets the most careful handling. Disclosure is staged: financial summary before customer names, contract structure before supplier terms, and the trade name only after the non-disclosure agreement with non-solicit terms is signed and logged.

You will be asked what you own or operate in the sector. Being cagey about your own company while asking detailed questions about the target is the pattern that slows disclosure down, so answering plainly speeds everything up.

What you bring to the gate

  • Your own company identity, stated openly
  • A signed NDA with explicit non-solicit and non-circumvention terms
  • Proof of funds or a board-level funding confirmation
  • Acceptance that staff and customer detail comes late, not early
  • No direct contact with the target, its staff, customers or landlord

Buyer type 04

Family offices and search funds

You hold a mandate, you are looking for a platform rather than a single asset, and you have an investment committee that will read everything twice. The process is slower and the close is cleaner, which is a trade most sellers take once it is explained to them.

A mandate letter from the fund or family office is accepted in place of a personal bank letter at the proof of funds gate. What matters more is the decision map: who on the committee has to approve, and at which stage.

One good relationship here becomes a standing channel for future mandates, so these buyers are fed everything that fits the mandate, in-thesis, first.

What you bring to the gate

  • A written mandate or investment thesis with a defined range
  • A mandate letter from the capital source
  • The approval chain, named, with the stages each one gates
  • A realistic diligence calendar
  • A named point of contact who stays on the deal

Where the answer is no

Who we turn away, and why it is not personal.

None of these is a judgement about the person. Each one is a pattern that has a predictable ending, and the seller is the one who pays for it.

  • No proof of funds, no named sourceFunds well below half the target price with a vague explanation that the rest will come from the deal, and no lender, partner or backer named. Logged, kept informed, not progressed.
  • "I will raise it once I find the right deal"The most common flaky signal in this market. It is not a character flaw, it is simply the wrong stage. Come back when the capital has a name attached to it.
  • Flippers and free informationBuyers who want figures, trade names and customer detail without signing anything, then disappear. A non-disclosure agreement with non-circumvention terms costs an honest buyer nothing.
  • Anyone who will not identify themselvesAsking for company details while declining to provide a passport or Emirates ID copy is, close to universally, a competitor or a broker fishing for intel.
  • Direct approaches to the sellerAny attempt to contact the owner, staff, customers or landlord outside this desk ends the process immediately and triggers the non-circumvention terms. There is no version of this that gets discussed.
  • "Can I just meet the owner informally first"Asked before proof of funds, this is the request that most reliably predicts a wasted seller meeting. It is also the easiest one to fix: clear gate two and the meeting is arranged.

Turned away is not permanent. Most buyers who stop at a gate stop at gate two, and gate two is a document. Send the bank letter or the mandate letter and the process picks up where it left off.

Straight answers

Questions about fit

Do you work with first-time business buyers?

Yes. Having bought a business before is useful context at the history question, not an entry requirement. What is required is a specific sector, a realistic size range, proof of funds at half the target price or more, and a clear picture of who else has to approve the decision.

I own a competing business. Will you still work with me?

Yes, with staged disclosure. Consolidators often price the deal best because the synergy is real. They also carry the highest confidentiality risk, so the NDA carries explicit non-solicit and non-circumvention terms, and customer, supplier and staff detail is released last rather than first.

Can I buy a UAE business to support a residency visa?

Buyers whose motivation includes residency are a large part of this market and are welcome. Eligibility depends on the licence, the activity, the authority involved and your own circumstances, so it is confirmed with the relevant authority and your own adviser rather than assumed from a profile. Nothing on this site should be read as immigration advice.

I am based overseas. Does that matter?

Not for the gates. Identification, the NDA and proof of funds all work remotely, and the first conversations happen on WhatsApp. It matters at the meeting stage, because the management meeting and site visit happen in person, and at closing, where bank and licensing steps need you or your representative present.

What if none of the four types describes me?

Say so in the first message and describe what you are actually doing. The four types cover most of the market, not all of it. The gate is the same either way.
